CLA Czech Republic helped the City of Jablonec nad Nisou acquire the Neptun accommodation facility

CLA Czech Republic was involved in the acquisition of the Neptun accommodation facility in Jablonec nad Nisou, a property that had long been perceived as problematic and had a significant impact on its surroundings.

The city decided to actively address the situation and acquired the property through a share deal, i.e. by purchasing a 100% stake in the company that owns the asset. This structure enabled not only an efficient transfer of control over the property, but also the optimization of financial costs and the settlement of existing liabilities.

CLA Czech Republic advised the city on the buyer’s side throughout the entire transaction process, from negotiating the terms, through the due diligence conducted in cooperation with KODAP, to the preparation of transaction documentation and the closing itself. The project was primarily led by Darek Doležal under the supervision of Robert Musil of CLA Law.
“This type of transaction demonstrates that a well-chosen structure can significantly influence not only the economics of the deal, but also its overall course and speed of execution. In this case, it was crucial to design a solution that would allow the city to take full control of the property while effectively addressing existing liabilities,” says Robert Musil, Partner at CLA Law.

For CLA Czech Republic, however, this transaction represents more than just another advisory project.
